Terms of Service

These Terms of Service ("Terms") govern access to and use of THE FEMME Book platform, including its website, mobile experience, vendor directory, membership programs, and any related services (collectively, the "Platform"), operated by The Femme Book LLC ("THE FEMME Book," "we," "us," or "our"). By creating an account, submitting a vendor application, purchasing a membership, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform. THE FEMME Book is a vetted, community-powered vendor directory. It is open to vendors and customers broadly and is not restricted to any single gender, business ownership type, or buyer demographic. References elsewhere to community, membership, or founding programs describe platform features, not eligibility restrictions.

THE FEMME Book connects vendors with customers through searchable, category-organized listings, a community review system, and membership tiers. The Platform launches on a city-by-city basis, beginning with the Dallas market, and categories are organized under a gem-tier classification system. We act as a directory and community platform. We are not a party to, and do not guarantee, any transaction, contract, service delivery, or outcome between a vendor and a customer arising from use of the Platform.

You must be at least 18 years old and able to form a binding contract to create an account. You are responsible for the accuracy of information you submit and for maintaining the confidentiality of your login credentials. One account per individual or business entity unless we approve otherwise in writing. We may suspend or terminate accounts that provide false information, violate these Terms, or misuse the Platform.

4.1 Application and Approval Vendors apply for a Platform listing through the vendor application process. Approval is at THE FEMME Book’s sole discretion. We may decline, suspend, or remove any listing at any time, with or without cause, subject to any refund terms specified in a vendor’s membership agreement. 4.2 Listing Accuracy Vendors are solely responsible for the accuracy, legality, and completeness of their listing content, including business claims, credentials, service descriptions, pricing, and media. THE FEMME Book does not independently verify vendor claims except where a verification process is explicitly stated. 4.3 Market Assignment Each vendor listing is associated with a specific city market. Vendors may not represent themselves as active in a market where they do not hold an approved listing.

THE FEMME Book offers tiered membership programs, including a limited Founding Member program with tier-specific caps set on a per-market basis (Sapphire, Emerald, and Diamond tiers). Availability is limited and displayed to applicants where technically feasible. Founding Member pricing and benefits are locked at the rate in effect at the time of successful application and payment, subject to the specific membership agreement presented at checkout. Membership fees are non-refundable once a founding slot is confirmed, except as required by law or as separately stated in a membership agreement. Founding slot confirmation timing (application versus approval) is determined by THE FEMME Book and may vary during initial launch phases. Membership tier does not guarantee leads, sales, bookings, or any specific business outcome. THE FEMME Book may introduce, modify, or retire membership tiers, benefits, or pricing for future cohorts at its discretion. Changes do not retroactively alter the terms of an already-confirmed membership.

6.1 User-Generated Content License By submitting a review, video, shout-out post, or any other content to the Platform ("User Content"), you grant THE FEMME Book a non-exclusive, worldwide, royalty-free, sublicensable license to host, display, reproduce, moderate, and distribute that content in connection with operating and promoting the Platform. 6.2 Review Standards Reviews must reflect a genuine experience with the vendor or service reviewed. Fraudulent, incentivized-without-disclosure, defamatory, or fabricated reviews are prohibited and subject to removal and account action. 6.3 Moderation THE FEMME Book may remove, hide, or edit User Content that violates these Terms, applicable law, or our community standards, at our discretion and without obligation to notify the submitting user in advance. 6.4 No Guarantee of Permanence We do not guarantee that any User Content will remain available indefinitely. Soft-deleted content may be retained internally for moderation and dispute-resolution purposes.

Vendors may self-attest to identity or ownership characteristics (including but not limited to LGBTQ-owned, nonprofit, minority-owned, woman-owned, veteran-owned, or government-certified status) for display as badges on their listing. Badges reflect vendor self-attestation only. THE FEMME Book does not independently verify these claims at this time and makes no representation as to their accuracy. Customers should not treat a badge as a guarantee of certified or legal status. Vendors are solely responsible for the truthfulness of any claim they attest to. THE FEMME Book reserves the right to request supporting documentation, suspend a badge, or remove a listing if a badge claim is credibly disputed. A formal verification and dispute process for identity badges is planned for a future platform phase and will be governed by a supplemental policy once launched.

Membership fees, advertising placements, and any other paid features are processed through our designated payment processor. By providing payment information, you authorize us to charge the applicable fees. All fees are quoted and charged in U.S. dollars unless otherwise stated. Except where required by law or explicitly stated in a membership agreement, fees are non-refundable. THE FEMME Book is not responsible for payment processor outages, delays, or errors outside our reasonable control. Repeated failed payments or chargebacks may result in suspension of a vendor listing or membership benefits.

Users may not: Submit false, misleading, or fraudulent vendor claims, reviews, or badge attestations. Use the Platform to harass, discriminate against, or defame another user or vendor. Scrape, copy, or republish Platform data or vendor listings without written permission. Attempt to circumvent membership tier caps, payment obligations, or moderation systems. Upload content that infringes intellectual property rights or violates applicable law. Interfere with the security or normal operation of the Platform.

THE FEMME Book, its logo, gem-tier category system, and Platform design are the property of THE FEMME Book and may not be used without written permission. Vendors and customers retain ownership of their original content but grant the license described in Section 6.1 for use on the Platform.

THE FEMME Book is a directory and community platform. Any transaction, service agreement, or dispute between a vendor and a customer is solely between those parties. THE FEMME Book is not responsible for the quality, safety, legality, or delivery of any vendor’s goods or services.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE FEMME BOOK’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY THE USER TO THE FEMME BOOK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THE FEMME BOOK IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS OPPORTUNITIES.

You agree to indemnify and hold harmless THE FEMME Book, its founder, employees, and contractors from any claim, liability, or expense (including reasonable attorney fees) arising from your use of the Platform, your listing content, your badge attestations, or your violation of these Terms.

We may suspend or terminate any account, listing, or membership at our discretion, including for violation of these Terms. You may close your account at any time by contacting us. Sections 6.1, 10, 12, 13, and 15 survive termination.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute not resolved through good-faith negotiation shall be subject to the exclusive jurisdiction of the state and federal courts located in Texas.

THE FEMME Book may update these Terms from time to time. Material changes will be communicated through the Platform or by email. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
